Our client is seeking a highly skilled Contract and M&A; Attorney to join their remote legal team. This position is fully remote, allowing you to work from anywhere in Mexico while playing a pivotal role in significant corporate transactions. You will be responsible for drafting, reviewing, and negotiating a wide range of commercial contracts, as well as advising on mergers, acquisitions, and other corporate restructuring. The ideal candidate will have a strong understanding of corporate law, transactional processes, and risk management. Key Responsibilities Draft, review, and negotiate complex commercial agreements, including service agreements, supply agreements, and partnership agreements.
Manage and execute mergers, acquisitions, divestitures, and joint ventures from a legal perspective.
Conduct legal due diligence for transactional matters.
Advise business teams on contract terms, risks, and compliance.
Ensure all contractual and transactional activities comply with applicable laws and regulations.
Develop standardized contract templates and playbooks.
Coordinate with external counsel and internal stakeholders on transaction matters.




Provide legal support for corporate governance and compliance initiatives.
Stay current with legal developments affecting contracts and corporate transactions.
Requirements Law degree (Licenciatura en Derecho) from a reputable university.
Minimum of 8 years of experience focusing on commercial contracts and M&A.;
Demonstrated experience in handling complex transactions and negotiating key agreements.
Solid understanding of corporate law, securities law, and contract law in Mexico.
Excellent drafting, analytical, and problem-solving skills.
Strong communication and interpersonal skills, with the ability to collaborate effectively remotely.
Proficiency in English (written and spoken) is essential.
Ability to work independently, manage deadlines, and prioritize tasks in a remote setting.
Detail-oriented and highly organized.
Must have a reliable internet connection and a dedicated home office space.
