Our client is seeking a highly skilled Contract and M&A; Attorney to join their remote legal team. This position is fully remote, allowing you to work from anywhere in Mexico while playing a pivotal role in significant corporate transactions. You will be responsible for drafting, reviewing, and negotiating a wide range of commercial contracts, as well as advising on mergers, acquisitions, and other corporate restructuring. The ideal candidate will have a strong understanding of corporate law, transactional processes, and risk management. Key Responsibilities

- Draft, review, and negotiate complex commercial agreements, including service agreements, supply agreements, and partnership agreements.
- Manage and execute mergers, acquisitions, divestitures, and joint ventures from a legal perspective.
- Conduct legal due diligence for transactional matters.
- Advise business teams on contract terms, risks, and compliance.
- Ensure all contractual and transactional activities comply with applicable laws and regulations.
- Develop standardized contract templates and playbooks.
- Coordinate with external counsel and internal stakeholders on transaction matters.




- Provide legal support for corporate governance and compliance initiatives.
- Stay current with legal developments affecting contracts and corporate transactions.

Requirements

- Law degree (Licenciatura en Derecho) from a reputable university.
- Minimum of 8 years of experience focusing on commercial contracts and M&A.;
- Demonstrated experience in handling complex transactions and negotiating key agreements.
- Solid understanding of corporate law, securities law, and contract law in Mexico.
- Excellent drafting, analytical, and problem-solving skills.
- Strong communication and interpersonal skills, with the ability to collaborate effectively remotely.
- Proficiency in English (written and spoken) is essential.
- Ability to work independently, manage deadlines, and prioritize tasks in a remote setting.
- Detail-oriented and highly organized.
- Must have a reliable internet connection and a dedicated home office space.
