About the Role

Our client is searching for a distinguished Especialista en Derecho Mercantil y Societario to join their esteemed legal department, operating remotely but with a strong presence in Saltillo, Coahuila, MX . This role is designed for a legal professional with extensive experience in commercial and corporate law, who thrives in a dynamic and independent work environment. The successful candidate will provide strategic legal guidance on a broad spectrum of business-related matters, ensuring compliance and mitigating risks for the organization. Key Responsibilities

- Advise on the formation, operation, and dissolution of business entities.
- Draft, review, and negotiate commercial agreements, including partnership agreements, service contracts, and distribution agreements.
- Ensure compliance with all applicable Mexican commercial and corporate laws and regulations.
- Manage corporate governance matters, including board resolutions and shareholder meetings.
- Provide legal support for business development initiatives and strategic alliances.
- Conduct legal due diligence for potential investments and acquisitions.
- Develop and implement corporate policies and procedures.
- Liaise with external counsel and regulatory bodies as needed.




- Offer strategic advice on risk management related to commercial activities.
- Maintain up-to-date knowledge of relevant legal and regulatory changes impacting businesses in Coahuila and beyond.

Requirements

- Law degree (Licenciatura en Derecho) from a reputable university.
- A minimum of 9 years of progressive experience specifically in commercial and corporate law.
- Proven expertise in drafting and negotiating complex commercial contracts.
- Strong understanding of Mexican corporate governance best practices.
- Experience with due diligence processes is essential.
- Excellent analytical, problem-solving, and decision-making abilities.
- Exceptional written and verbal communication skills in Spanish.
- Proficiency in English is highly desirable.
- Ability to work autonomously and manage projects effectively in a remote setting.
- Bar admission in Mexico is required.
