About the Role Our client, a prestigious international investment firm, is seeking a seasoned and highly strategic Abogado Principal - Fusiones y Adquisiciones for a fully remote position. This critical role will be responsible for leading and managing complex M&A; transactions, from initial due diligence and structuring through to closing and post-acquisition integration. The ideal candidate will possess extensive experience in cross-border M&A;, corporate finance, and securities law, with a proven ability to navigate intricate legal and commercial challenges in a remote setting. Key Responsibilities Lead and manage all legal aspects of M&A; transactions, including due diligence, deal structuring, and negotiation. Draft and review M&A; agreements, including stock purchase agreements, asset purchase agreements, and merger agreements. Advise on corporate governance, securities law compliance, and regulatory approvals related to transactions. Manage relationships with external counsel, investment bankers, and other advisors. Assess and mitigate legal risks associated with potential acquisitions and divestitures. Provide strategic legal guidance to senior management and investment teams. Ensure compliance with all applicable laws and regulations in relevant jurisdictions.



Oversee post-closing integration activities from a legal perspective. Requirements Law degree (Licenciatura en Derecho) and admitted to practice law in Mexico. An LL. M. or equivalent is highly desirable. Minimum of 12 years of substantial experience in corporate law, with a primary focus on M&A; transactions, preferably with international exposure. Demonstrated experience in managing multiple large-scale M&A; deals simultaneously. Expert knowledge of Mexican corporate law, securities regulations, and M&A; best practices. Exceptional negotiation, drafting, and analytical skills. Proven ability to provide strategic business-oriented legal advice. Excellent leadership, communication, and project management skills. Ability to thrive and manage complex projects in a remote, fast-paced environment. Fluency in English is essential; knowledge of other languages is a plus.
