About the Role

Our client, a prestigious international investment firm, is seeking a seasoned and highly strategic Abogado Principal - Fusiones y Adquisiciones for a fully remote position. This critical role will be responsible for leading and managing complex M&A; transactions, from initial due diligence and structuring through to closing and post-acquisition integration. The adecuado candidate will possess extensive experience in cross-border M&A;, corporate finance, and securities law, with a proven ability to navigate intricate legal and commercial challenges in a remote setting. Key Responsibilities

- Lead and manage all legal aspects of M&A; transactions, including due diligence, deal structuring, and negotiation.
- Draft and review M&A; agreements, including stock purchase agreements, asset purchase agreements, and merger agreements.
- Advise on corporate governance, securities law compliance, and regulatory approvals related to transactions.
- Manage relationships with external counsel, investment bankers, and other advisors.
- Assess and mitigate legal risks associated with potential acquisitions and divestitures.
- Provide strategic legal guidance to senior management and investment teams.
- Ensure compliance with all applicable laws and regulations in relevant jurisdictions.




- Oversee post-closing integration activities from a legal perspective.

Requirements

- Law degree (Licenciatura en Derecho) and admitted to practice law in Mexico. An LL.M. or equivalent is highly desirable.
- Minimum of 12 years of substantial experience in corporate law, with a primary focus on M&A; transactions, preferably with international exposure.
- Demonstrated experience in managing multiple large-scale M&A; deals simultaneously.
- Expert knowledge of Mexican corporate law, securities regulations, and M&A; best practices.
- Exceptional negotiation, drafting, and analytical skills.
- Proven ability to provide strategic business-oriented legal advice.
- Excellent leadership, communication, and project management skills.
- Ability to thrive and manage complex projects in a remote, fast-paced environment.
- Fluency in English is essential; knowledge of other languages is a plus.
