We're Hiring We are looking for a Senior Legal Counsel to join our team. Position Summary The Senior Legal Counsel will provide legal support to Andean Precious Metals Corp. and its subsidiaries, focusing on complex financial transactions, corporate structures and reorganizations, mergers and acquisitions (M&A;), and tax-related legal matters. The role will support the Company's financial and corporate transactions, including loans, derivatives, financing arrangements, transfer pricing, intercompany transactions, dividend distributions, and tax optimization initiatives. The position will also provide legal support for projects involving Canada and Sweden, as well as the Company's NYSE Listing process.

Key Responsibilities
Corporate, Financial & Tax Legal Matters
• Draft, review and negotiate complex financial agreements.
• Provide legal support related to loans, derivatives, financing arrangements and other financial transactions.
• Provide legal support for M&A; transactions.
• Provide legal support on tax-related matters.
• Advise on corporate structures and corporate restructuring matters.
• Provide legal support related to transfer pricing matters.
• Support intercompany transactions.
• Provide legal support related to dividend distributions from subsidiaries.
• Provide legal support for projects involving Canada and Sweden.
• Support tax optimization initiatives.
• Provide legal support related to the NYSE Listing. Qualifications Education
• Law Degree (J.
D., LL.
B. or equivalent).
• Master’s Degree (LL.
M., MBA or equivalent) from an accredited university; a degree from a U.
S. university is preferred.



Professional Experience
• Minimum of 10 years of progressive legal experience.
• Previous experience as Legal Manager, Senior Legal Manager or equivalent leadership position.
• Extensive experience advising multinational companies or international corporate groups.
• Demonstrated experience supporting executive management and senior business leaders. Required Technical Experience Strong experience in the following areas:
