Role Summary The Finance Manager is responsible for leading the Finance team and overseeing all financial and accounting functions, including policies, controls, systems, and processes. The role carries day-to-day responsibility for the Mexican, Bermudian, United Kingdom and Netherlands legal entities, and an oversight responsibility — review, challenge and escalation, but not day-to-day management — for the Singapore legal entities.

Group reporting is prepared in accordance with IFRS, with each entity additionally maintaining and filing statutory accounts under its applicable local framework. The role ensures compliance with tax and regulatory requirements in every jurisdiction in scope, manages both management and statutory financial reporting, and maintains a documented reconciliation between group and statutory reporting for each entity.

The Manager is also accountable for supervising finance activities such as cash management, cash forecasting, foreign currency exposure, intercompany funding and the oversight of treasury and banking systems, and for financial and cash flow projections supporting the business plan. Direct line management is provided by the parent company finance function, and the Manager acts as principal finance advisor to the Chief Executive Officer of Fontis Energy. Ultimately, the Manager's primary goal is to steer the company toward profitability and long-term success.

Job Specific Responsibilities

Financial Control, Reporting and Consolidation

- Responsible for the management of Group finance across the legal entities under direct responsibility, and for the oversight of finance matters in the entities held under oversight.
- Management of the finance team and the overseeing of day-to-day activities for Treasury, Accounts Payable, Accounts Receivable, Cost Control, Tax, and Reporting and Consolidation.
- Responsible for regular management reporting, which includes the monthly, quarterly and annual reporting packages, delivered to parent company deadlines and reporting formats.
- To manage and be responsible for statutory reporting, which includes the review and finalization of audited financial statements, compliance with relevant tax and related regulations, and ensuring submission and filing are completed in a timely manner for all entities — prepared in accordance with IFRS and the applicable local statutory framework in each jurisdiction.

Tax and Transfer Pricing

- Own the tax compliance calendar across all jurisdictions in scope, covering corporate income tax, VAT and refund recovery, withholding taxes, and informative filings.
- Maintain the transfer pricing framework, including intercompany agreements, service and cost-plus arrangements, local file and master file documentation, and supporting benchmarking.
- Manage tax audits, assessments, settlements and disputes in coordination with external counsel and advisors, and maintain provisioning for uncertain tax positions.
- Monitor permanent establishment risk, entity substance, and the tax treatment of cross-border charter and service arrangements, escalating structural exposures to the parent company.

Treasury, Cash and Working Capital

- To report and monitor collections, and manage working capital requirements including cash management,



payables and capital expenditure.
- Produce and maintain short-term rolling and long-range cash forecasts at entity and consolidated level, with variance analysis against actuals.
- Manage banking relationships, account structures, mandates and signatory administration, and ensure timely completion of KYC, sanctions and beneficial ownership requirements.
- Identify and manage foreign currency exposure and execute hedging within parent company policy and delegated limits.
- Manage intercompany funding, settlement and netting, and plan distributions, repatriations and capital movements with tax and legal input.
- Monitor compliance with financing agreements, covenants and reporting undertakings applicable to the entities in scope.

Planning, Budgeting and Performance

- Direct the formulation and development of the business plan and budget, financial projection and cashflow projection, to support the development of short-term initiatives and long-term strategy.
- Supervise the budget to allocate resources in accordance with company's policies and procedures and manage the periodic reforecast cycle.
- Business partner with operations on asset-level performance, including operating cost per day, utilization and downtime impact, and margin by contract.
- Provide commercial finance support to tendering and contract negotiation, including pricing models, cost build-ups, and margin sensitivity analysis.
- Control capital expenditure end to end, including authorization, commitment tracking, forecast to complete, and post-completion review.

Governance, Risk and Internal Control

- To advise, improve, and ensure compliance with related financial and accounting internal controls, systems and processes, directives and procedures, and the automation of reports.
- Oversee all audit, tax functions and internal control operations, and maintain and enforce the limits of authority, finance policies and parent company directives across all entities in scope.
- Identify control deficiencies, agree remediation plans, and track them through to closure.
- Support the entity governance calendar in coordination with Legal and Company Secretarial, including statutory filings, powers of attorney, and board or shareholder resolutions with financial effect.
- Support the insurance programme, including declarations, renewals, and the financial assessment of claims.

Oversight of Entities Outside Direct Responsibility

- Review and challenge the monthly results, balance sheet and statutory financial statements of the entities held under oversight.
- Ensure that intercompany balances, charter and bareboat flows, and transfer pricing arrangements between those entities and the operating entities are agreed, contractually supported, reconciled, and correctly eliminated on consolidation.
- Maintain visibility of cash position,



funding requirements and bank mandates, so that funding decisions are consistent across the Group.
- Escalate inconsistencies, exposures or control gaps to the parent company. Execution and day-to-day management of these entities' rests outside this role.

Stakeholder Management and Leadership

- Focal point between the parent company and the Group for all finance-related matters.
- Advise the Chief Executive Officer on financial management matters, escalating to the parent company where positions diverge.
- Lead, structure and develop the finance team across locations, including objective setting, performance management and succession planning.
- Determine and manage the use of external advisors, including scope, cost and delivery.
- Any other matters as deemed necessary by Company Management.

Equipment & Systems

- Knowledge of Finance ERPs – such as ORACLE, SAP, HFM, etc.
- Preferably to have been involved in ERP implementations and migrations.
- Working knowledge of consolidation and group reporting tools, and of multi-entity, multi-currency chart of accounts and master data structures.
- Proficiency with electronic banking and payment platforms, and with treasury and cash forecasting tools.
- Advanced Excel and financial modelling, with familiarity in reporting automation and data visualization tools.

Qualifications

- Bachelor's in finance / accounting / administration / economics.
- Preferred – master's degree in accounting / finance with CPA.
- Professional accounting qualification (CPA, ACA, ACCA, CIMA or local equivalent).
- Minimum 15 years of Finance and accounting experience with at least 6 years of management experience.
- Demonstrable experience preparing and reviewing financial statements under IFRS, including the consolidation of multi-entity, multi-currency groups.
- Experience of statutory reporting and audit across multiple jurisdictions, and of managing external auditors and advisors.
- Experience of Mexican tax and regulatory compliance, including VAT recovery and the management of tax audits or disputes.
- Experience of transfer pricing and cross-border intercompany arrangements.
- Experience in offshore drilling, oilfield services, marine or a comparable capital-intensive international sector is preferred.
