We are hiring for one of our clients, seeking a contract-based M&A; Corporate & Securities Attorney to oversee securities filings, corporate governance, and transactional compliance.
Key Responsibilities:
- Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
- Ensure compliance with SEC regulations, including SEC filings such as Forms S-1, S-3, 8-K, and 10-K.
- Advise on corporate governance matters, including board and shareholder meeting documentation.
- Conduct due diligence for M&A; transactions and securities offerings.
- Liaise with external counsel, investment banks, and regulatory bodies as needed.
Required Skills & Qualifications:
- Licensed attorney in good standing with experience in securities law.
- Minimum 5 years of experience in M&A; and corporate law, with SEC filing expertise.
- Strong drafting and negotiation skills for transactional documents.
- In-depth knowledge of corporate governance best practices and compliance.
- Ability to manage multiple deadlines and high-pressure transactional environments.
