Responsibilities The Corporate Attorney will be responsible for providing corporate legal services and strategic advice to companies, investors, and families.

Key responsibilities include

- Drafting, reviewing, and coordinating corporate and legal documentation, including corporate bylaws, powers of attorney, shareholders’ meeting minutes, corporate books and records, minutes of Board of Directors’ meetings, resolutions adopted outside of shareholders’ meetings, and commercial agreements.
- Reviewing and coordinating notarial drafts and instruments relating to a broad range of legal transactions.
- Managing and maintaining corporate and legal records and documentation.
- Monitoring legislative and regulatory developments relevant to the Firm’s practice areas.
- Coordinating and managing matters with notaries public.
- Managing filings, procedures, and other matters before governmental authorities.





Qualifications

Minimum of 3 years of experience as a corporate attorney, either in-house or at a law firm, with experience in:

- Incorporation and establishment of companies.
- Corporate transformations and restructurings.
- Shareholders’ meetings.
- Powers of attorney.
- Corporate governance.
- Corporate compliance.
- Maintenance and management of corporate books and records.
- Drafting and negotiation of agreements, including, without limitation, service agreements and confidentiality agreements.
- Legal due diligence and audits.
- Coordination and management of matters with notaries public.
- Governmental filings and procedures, including matters before the Mexican Tax Administration Service (SAT).
