About the position

Provide proactive and practical legal guidance on employment and labor law, corporate governance,

and operational compliance across K2’s Latin American (SSL) business entities.

Work effectively with sales, finance and business leadership to reach a successful outcome in

contract negotiations.

Resolve complex cross-border issues, especially those concerning labor, tax, and employment

relationship presumptions in high-risk jurisdictions such as Mexico.

Undertake role as Company Secretary, ensuring strong corporate governance and compliance in

accordance with jurisdictional and internal K2 Group requirements.

Responsibilities

*Lead and maintain a Legal & Compliance function focusing on commercial and compliant solutions

for K2’s Latin American entities.

*Independently review, draft, and negotiate a wide variety of complex commercial agreements and

amendments to ensure terms comply with K2 Group’s minimum general standards.. This task requires

a deep understanding of commercial contracts and the ability to navigate intricate legal and

business considerations.

*Advise and support the Head of Region and Finance Director for SSL in developing, adhering to, and

actively managing high-priority risk mitigation strategies, including those related to tax compliance,

shifting corporate regulations, and labor-law compliance across Latin America.

*Implement and enforce clear processes to maintain all governance documentation (e.g. Statements

of Work, and other required documentation) for regional engagements to prevent operational gaps

*Ensure appropriate service levels are maintained for the benefit of the business in relation to Legal

and Compliance support.

*Representing the Company in relation to employment tribunal matters and lower court claims

relating to the business where possible.

*Promoting a culture of professional development and continuous improvement.

*Operate within a given budget and resources and uphold K2 Group and Global Policies and

guidelines,



including Authorisation Matrices and Policies.

*Manage or supervise the relationship with external counsel in complex, multi-jurisdictional matters

(e.g., complex compliance or labor-related tax audits).

*Remain up to date and compliant with legislative changes.

*Ensure risk management objectives are met and ensure regional leadership are aware and

conforming with those objectives.

*Manage disputes, regulatory inquiries, and litigation matters, coordinating with outside counsel and

internal stakeholders to mitigate legal and business risk.

Key Attributes

● Strong employment law experience, particularly within Mexico and Colombia, with the ability

to advise on complex employment law issues, including contracts, disputes, and compliance

matters;

● Proven expertise in Latin American compliance and labor law, specifically navigating

anti-outsourcing regulations (e.g., Mexican labor law reform) and establishing compliant

engagement models for independent contractors and freelancer;

● Undertake all corporate governance duties as Company Secretary for the Latin American

entities under relevant local law, including but not limited to:

○ Keeping the registered Directors fully informed of their responsibilities

○ Maintaining and managing centrally all information and documentation required for

the Company Secretarial function

○ Acting as signatory for required legal documents the K2 Group where possible,

○ Maintaining an up to date and informed service;

● Interface with all levels of K2 personnel to advise on contract-related matters and ensure

contract terms are consistent with K2’s business practices, policies and goals;

● Develop and conduct periodic training on contract terms, K2’s positions and the contracting

process for sales, business and other colleagues.

● Strong relationship management and solution oriented results;

● Previous experience working with high energy sales teams ;





● Experience with commercial contracts including but not limited to Master Services

Agreements, Consulting Agreements;

Requirements & Skills

● Advanced negotiation skills, able to work effectively to objectives with the personal

sensitivity to manage negotiations with a range of stakeholders, including business leaders,

and senior management and K2 staff.

● Employment law experience.

● Experience and understanding of commercial considerations to obtain best outcome for the

K2 Group.

● Ability to effectively manage risks while maximising commercial opportunities.

● Ability to grasp complex situations and get up to speed quickly on current projects and

practices.

● Qualified Lawyer with active licensure in Mexico or another key South American jurisdiction

(e.g., Colombia). Licensure in an additional jurisdiction (e.g. United States, Canada or Europe)

is a distinct advantage.

● Experience of at least 5+ years in the services industry in a similar capacity.

● Fluency in English and Spanish.

● Hybrid position. In office 2-3 days per week.
