About the Company
Legal Dealmakers is a boutique U.S. M&A; law firm built by entrepreneurs, with $170M+ in closed deal volume and 20+ years of M&A; experience. The firm handles both buy-side and sell-side transactions for small and mid-sized businesses (SMBs) — from LOI through close — across industries including eCommerce, SaaS, healthcare, manufacturing, and B2B services. You'll work directly with the firm's attorneys on live transactions from due diligence through closing.
About the Role
You'll be the operational backbone of the firm's deal process — reviewing due diligence documents to help buyers identify risks, organizing disclosure schedules, and coordinating everything needed to get deals closed. If you've coordinated real estate closings, this work will feel very familiar: same discipline,



bigger transactions.
What You'll Do
- Review contracts, insurance policies, employee handbooks, leases, deeds, loan documents, and settlement agreements as part of buy-side due diligence
- Flag potential risks and summarize findings for the attorneys
- Organize and maintain disclosure schedules
- Coordinate all closing tasks: closing checklists, document collection, signature pages, and follow-ups with all parties
- Manage virtual data rooms and keep deal files organized
- Work heavily in Adobe (PDF), Microsoft Word, and Google Docs

What We're Looking For
- Paralegal background (law degree welcome but not required)
- Real estate closing or other transactional coordination experience
- M&A; exposure is a plus, but trainable
- Excellent written and spoken English
- Extremely detail-oriented and organized; comfortable managing many moving pieces across multiple deals
- Proficiency with Adobe PDF
