**Position**:M&A; Lawyer.
**Location**:Ciudad de México, Zona Reforma.
**Type of job**:Full time / presential.
**Position Objective**
**Key Responsibilities**
- Lead and manage complex M&A; transactions from inception to completion, ensuring all legal aspects are meticulously handled.
- Conduct thorough due diligence investigations to identify potential risks and opportunities.
- Draft, review, and negotiate transaction documents including NDAs, term sheets, purchase agreements, and shareholder agreements.
- Collaborate with cross-functional teams including finance, compliance, and external advisors to ensure seamless transaction execution.
- Provide strategic advice on deal structure and regulatory considerations to optimize client outcomes.
- Stay abreast of industry trends and legal developments impacting M&A; activities.
**- Contract Management**:
- Draft, review, and negotiate high-value contracts and agreements to safeguard the company’s interes.
**- Mediation & Dispute Resolution**:
- Handle disputes efficiently through mediation or litigation if required
**- Resolutions**:
- Draft and review resolutions, board minutes, and corporate governance documents related to M&A; transactions. Ensure resolutions comply with statutory requirements and align with the company's internal policies.
Advise executives on the legal implications of proposed resolutions and ensure proper implementation.
**Requirements**:
- Education: Attorney Licensed to practice law in relevant jurisdictions.
- Experience: Minimum of 3-8 years of experience in M&A; transactions, preferably within the energy sector or a related field.
- Strong knowledge of corporate law, contract negotiation, and regulatory compliance in the energy industry.
- Specialized knowledge (Certifications or training if applicable)
- Proven experience drafting and implementing resolutions for corporate transactions
- Exceptional analytical, problem-solving, and communication skills
- Proactive (is a must) Ability to work in a fast-paced, dynamic environment and manage multiple priorities
- Experienced with some USA company/LAW FIRM
- Work in some USA company/LAW FIRM
- Familiar with USA law.
- Use of Tools (Software, Tools, Machinery) Office 365
Languages: Advanced English (essential for reporting and coordination with general teams).
