As International Corporate Counsel, you will lead the corporate legal work associated with Justworks' global expansion and ongoing compliance with corporate obligations across our international subsidiaries. You will report to the Director, Corporate & Securities Counsel (based in New York) and work closely with other members of the legal team as well as finance, tax, operations,



and expansion teams to support Justworks' international growth strategy.

**What You Will Work On**:
- Drive international subsidiary formation and licensing activities in new markets.
- Manage global subsidiary governance and legal entity management, ensuring compliance with all local corporate secretarial requirements.
- Draft, review, and negotiate intercompany agreements to support tax-efficient transfer pricing strategies.
- Lead internal entity restructuring initiatives to align with tax-efficient corporate structures.
- Review and manage global office leases and related real estate matters.
- Review global vendor agreements for the legal and finance teams (e.g., engagement letters).
- Prepare powers of attorney and other corporate authority documents to facilitate streamlined operations across jurisdictions.
- Support corporate and equity-related aspects of internal global hiring.
- Develop and implement innovative processes leveraging AI and technology to improve operational efficiency.
- Oversee and manage relationships with local legal advisors, corporate secretarial vendors, and other key vendors.
- Negotiate commercial contracts.
- Coordinate with cross-functional teams and key stakeholders.
- Support in other duties as needed based on department and/or organizational needs.
